국내 기업 지배구조가 회사채 신용점수에 미치는 영향 (The Effect of Corporate Governance on the Credit Score - focused on the difference before and after the financial crisis -)

초록

본 논문은 유가증권 상장기업을 대상으로 기업지배구조 평가점수가 높은 기업일수록 회사채 신용점수가 유의하게 높게 나타나는 가를 실증적으로 분석하고, 더 나아가 기업지배구조 평가점수뿐만 아니라 세부 변수가 회사채 신용점수에 미치는 영향에 대해 글로벌 금융위기를 전후로의 차이를 고찰하고자 한다. 분석 결과는 다음과 같다. 첫째, 신용등급에 영향을 미칠 수 있는 특정 변수를 통제한 후에도 기업지배구조 평가점수가 높은 기업일수록, 신용점수는 유의하게 높게 나타났다. 이는 기업지배 구조의 5가지 항목인 주주의 권리보호, 이사회, 공시, 감사기구, 경영과실 배분에 관한 지배구조점수 모두에서 유의하게 양(+)의 관계로 나타났다. 둘째, 사외이사의 구성비율은 전체기간에서 신용점수와 유의한 상관관계를 보였다. 금융위기 이후에 사외이사의 구성비율과 신용점수 간에 음(-)의 상관관계가 관찰된 반면, 금융위기 이후를 제외한 기간에서는 사외이사 구성비율과 신용점수간 에 양(+)의 상관관계가 관찰되었다. 즉 사외이사의 비율이 높을수록 이사회의 독립성이 강화되어 신용점수가 높게 나타난다는 것이다. 셋째, 감사위원회의 설립여부는 전체기간에서 신용점수와 유의한 양(+)의 상관관계를 보였다. 이는 기업지배구조 평가점수가 동일한 상황에서 감사위원회가 설립된 기업의 신용점수가 감사위원회가 설립되어 있지 않는 기업보다 통계적으로 유의하게 더 높다는 것을 의미한다. 넷째, 소유지배구조 변수 중 최대주주지분율은 신용점수와 유의한 상관관계를 보이지 않아 가설을 검증할 수 없었다. 반면 외국인 보유지분과 신용점수는 모든 연구기간에서 유의한 양(+)의 상관관계를 보였다. 즉 기업 지배구조가 좋은 기업에 외국인 투자 비중이 높아지고 따라서 신용점수도 높다는 것을 확인할 수 있다. 이러한 결과는 기업의 지배구조 개선을 위한 정책당국 및 기업 자체의 노력이 실효성이 있다는 것을 지지한다. 또한 좋은 지배구조 및 그 세부변수가 기업의 신용점수에 영향을 준다는 사실은 실무에서 경영자가 기업가치를 제고시키거나 자본비용을 낮출 유인이 있는 경우 유용한 시사점을 제공해 줄 것으로 기대한다.

영어초록

In this paper, we analyze the effect of corporate governance on the credit score of the companies those are listed on Korea Securities Exchange from the period of 2003 to 2010. We investigate further how this effect on the credit score would be different before and after the global financial crisis. For this purpose, the Korea Corporate Governance Score and the details of the ratio of the board of directors, the ratio of outside audit members in the audit committee, the ratio of largest shareholders’ ownership, the ratio of foreign investors’ ownership, and other financial characteristic variables for the companies were used as independent variables and control variables. Credit rating agency’s KIS-Value credit scores were used as a dependent variable for the analysis. The empirical results are as follows: First, after controlling all other attributes, companies with good corporate governance score are likely to have high credit scores significantly. The five items of corporate governance, the degree of protection of the rights of shareholders, the independence of board of directors, disclosure, audit committee organizations, division of profits are all significantly positive with their credit scores. Second, the ratio of outside directors affects positively the credit score throughout the entire data period except the period after the crisis. It implies that overall the higher ratio of outside directors brings more independence of the board, thus improving the credit scores. Third, throughout the entire period, the establishment of the audit committee is positively correlated with credit scores. It means that a company with the audit committee has high credit score than a company without the audit committee, all other things are equal. Fourth, foreign ownership and credit score have significantly positive correlation for the entire period. It supports that foreign investors are more likely to invest their money into companies with good corporate governance. The results of this study The results of this study shed some lights on the effectiveness of regulatory efforts to improve corporate governance of companies. In addition, it provides some practical implication for companies to have good corporate governance voluntarily when managers have some incentives to lower the cost of capital or to raise the value of the company.
