공익법인 세제의 문제점과 개편방향 (Problems with and Reform Directions for the Taxation of Public-Service Corporations)

초록

최근 공익법인의 과세제도에 대해 개편논의가 활발하게 이루어지고 있다. 공익법인 제도는 공익의 수행자 역할이라는 긍정적 측면과 함께 상속세 등 조세회피 또는 공익법인을 통한 기업 지배 등 부정적 측면도 포함하고 있으므로 그 개편방향 역시 양쪽 측면 모두에서 제시되고 있는데, 그 접점을 찾는 것 역시 쉬운 일이 아니다. 우리 공익법인 관련 세제는 대체로 잘 갖추어져 있으나 일부 현실에 맞지 않는 규정들이 있는데, 주로 주식기부, 재산의 운용소득과 그 공익목적 사용, 회계투명성 등에 대한 것이다.
위 논의의 결론은 다음과 같다.
첫째, 주식출연 비율 자체에 대한 제한보다는 ‘출연된 주식으로 어떻게 공익활동을 수행하는가?’라는 방향 설정이 필요하며, 최근 출연비율을 증가시키는 방향의 개정은 바람직한 것이라고 생각한다.
둘째, 저금리 시대의 지속 등 상황변화로 인해 원본을 유지한 채 운용소득에 의해 공익법인을 운영하는 것이 어려워졌으므로, 기본재산의 일부를 목적사업으로 사용할 수 있도록 하거나 또는 공익법인의 합병 등 구조조정을 인정하도록 관련 법제와 세제를 개편하여야 한다. 셋째, 공익법인의 회계투명성을 높이기 위하여 외부감사를 강화하고, 규정 위반에 대한 대표자 제재 강화 및 표준회계기준의 제공이 필요하다. 최근 이러한 사항들을 반영하여 일부 법 개정이 이루어지고 있으므로 바람직하지만 공익법인의 규모와 공개범위, 신고서류와 공시서류의 일원화 등에 대한 추가 검토가 필요하다.

영어초록

There have been active discussions about the reform of taxation system for public-service corporations in recent years. The public-service corporation system has both a positive aspect of providing public-service and a negative one of avoiding taxes including inheritance taxes or having control over companies through public-service corporations. Reform directions are proposed for both the sides, and it is not easy to find a point of contact between them. South Korea has a good taxation system for public-service corporations, but some of its provisions do not fit the reality including the ones about stock donation, property management income, utilization of property for public good, and accounting transparency.
Those discussions have led to the following conclusions： First, it is needed to set a direction by asking "How does a public-service corporation perform public interest activities with the contributed stocks?" rather than putting limits on the ratio of stock contribution itself. The recent reform direction thus seems right as it increases the ratio of stock contribution.
Secondly, it has become difficult to run a public-service corporation with management income while keeping the principal due to situational changes including the lasting era of low interest rates, which means the concerned legislations and taxation systems should be revised to allow public-service corporations to use parts of their fundamental property for their purpose businesses or recognize restructuring such as the merger of public-service corporations.
Finally, the accounting transparency of public-service corporations should be improved by reinforcing external audits on them, putting stricter restrictions on the heads that have violated the rules, and offering a set of standard accounting criteria. Recent years have witnessed the desirable revision of some legislations by reflecting those proposals, but it is still needed to review additionally the size and opening scope to the public of public-service corporations and the unification of reporting and public announcement documents.
