RG(선수금 환급 보증 보험)관련 재보험에 대한 연구 (A Review on a Reinsurance Claim for Refund Guarantee Insurance)

초록

우리나라 보험시장이 커지고 대형재해로 인한 보험사고 발생이 많아지면서 실무상 재보험과 관련된 법률 문제 및 분쟁이 늘어나고 있다. RG재보험 분쟁과 관련된 배경으로 선박건조계약과 RG 보험의 특성을 소개한 후, 우리나라 원수보험사가 발주자에 대하여 RG보험을 제공하고, 외국 재보험사에 출재를 하는 가상의 사례를 통하여 재보험 청구권과 관련되어 문제될 수 있는 법적 쟁점들을 소개한다. 가상의 사례에서는 재보험에 대하여 명시적인 준거법이 정하여지지 않은 경우에 어떠한 원칙에 따라 묵시적 준거법을 정하는지 살펴본다. 그리고 재보험에서 부보되는 위험과 관련하여 원수보험의 계약조건을 재보험에 편입(incorporation)하는 조항의 요건 및 효과와 관련하여 영국법의 입장을 살펴본 후 재보험 slip상 조선소의 도산이 재보험의 부보위험으로 명시되지 않은 경우에도 편입 조항의 효력에 의하여 이를 부보된 재보험위험으로 볼 수 있는지 검토하였다. 다음으로 재보험 slip에 포함되어 common law상 고지의무를 언급하는 No prior knowledge 조항과 우리 상법상 고지의무에 관한 조항의 통일적 해석론을 검토하고 한국법과 영국법상 고지의무 요건의 차이와 RG 재보험에서 흔히 문제될 수 있는 고지의무 위반 사유들을 논의하였다. 마지막으로 재보험 slip상 Follow the Settlement 조항의 법적 효과에 대하여 살펴보고, 가상의 사례에서 원수보험계약 관계에 있어서 고지의무 위반에 근거한 원수보험금 거절을 하지 않았다는 사정에 기초하여 Follow the Settlement 조항의 적용을 배제할 수 있는지 검토하였다.

영어초록

In line with the growth of the insurance market in Korea as well as the increase number of large insurance risk event, there are growing number of disputes involving the reinsurance in Korea. This study first introduces the features of the shipbuilding contracts and the refund guarantee insurance. Then, this study identifies the potential issues that may arise in connection with the hypothetical case where Korean insurer provides refund guarantee insurance and then the insurer concludes reinsurance contracts with the foreign reinsurer. In this hypothetical case, this study considers which governing law of the reinsurance contract impliedly agreed between the insurer and reinsurer applies when there is no express governing law clause in the reinsurance slip. Then, this study reviews the English law precedents on the incorporation of the terms and conditions of the original insurance into the reinsurance contract in order to confirm whether the insured risk under the reinsurance can include the insolvency of the shipbuilder based on the incorporation clause in case the reinsurance slip fails to identify the same risk. Thirdly, this study considers the way to reconcile the No prior knowledge clause in the reinsurance slip which refers to the disclosure obligation under the common law with the articles under the Korean Commercial Code in connection with the disclosure obligation. In that regard, the comparison between Korean law and English law on the requirement of the disclosure obligation is made. This study also reviews several potential issues that may comprise the breach of the disclosure obligation in terms of the refund guarantee reinsurance. Finally, this study reviews the effect of the Follow the Settlement clause in the reinsurance slip and then analyze whether the reinsurer has valid defense to evade the Follow the Settlement clause by asserting that the insurer fails to refuse to pay the insurance proceeds due to the breach of the disclosure obligation by the shipbuilder.
