2024년 개정 금융회사지배구조법 주요 내용의 평가와 향후 과제 - 보험업을 고려한 관점에서 - (Main Contents and Legal Review of the 2024 Revised Financial Companies Governance Act -From the Point of View of the Insurance Industry-)

금융회사의 지배구조에 관한 법률(이하 ‘금융회사지배구조법’)에서 위임된 사항과 그 시행에 필요한 사항을 정한 동법 시행령 및 감독규정 개정안이 2024년 2월 입법예고 되었다. 본건 법률 개정은 금융회사 내부통제와 위험관리가 효과적으로 작동될 수 있도록 기존의 내부통제기준 마련의무 외에 금융회사 대표이사와 경영진에게 기준의 적정성, 임직원의 기준 준수여부 및 기준의 작동여부 등을 상시적으로 점검하는 내부통제 관리의무를 부과하는 등을 주된 내용으로 하면서, ‘금융회사의 책무구조도 마련⋅제출 의무’, ‘임원 및 대표이사 등의 내부통제 관리의무’, ‘제재 및 책임감면’, ‘이사회의 내부통제 감시역할 강화’ 등의 내용을 규정하고 있다. 동 법률은 2024년 7월부터 시행되고 있다.
본 논문은 개정된 금융회사지배구조법에 대한 주요 내용을 살펴보고, 그 내용에 대한 평가와 함께 앞으로 개선해야 할 과제가 무엇인가를 제시해 보고자 하였다. 개선과제로는 감독규정은 책무기술서와 책무체계도에 담겨야 할 기본적인 정보만을 예시적으로 열거하고 있을 뿐이어서 금융회사가 책무구조도 작성의무를 이행하기 위해서는 추가적인 지침이 필요할 것으로 판단되고, 개정 법률상 임원의 범위에 관해서는 이사회의장이 아닌 사외이사를 모두 제외하는 것이 바람직한지 추가적인 검토가 필요하다. 직원 담당업무에 대한 임원에 준하는 책임 규정에 대한 사항으로, 지나치게 넓게 해석되는 경우 권한상 내부통제 등 관리의무를 부담하기 적절하지 않은 자에게 책무가 배분될 우려가 있음에 유의해야 할 필요가 있다고 하겠다.

영어초록

Legislation was announced in February 2024 for the revision of the Enforcement Decree and Supervision Regulations, which set out the matters delegated by the Act on Corporate Governance of Financial Companies (hereinafter referred to as the “Financial Companies Governance Act”) and the matters necessary for its enforcement. In addition to the obligation to prepare existing internal control standards so that internal control and risk management of financial companies can operate effectively, the revision of the law imposes an obligation to manage internal control and management of financial companies to constantly check the appropriateness of the standards, compliance with the standards of executives and executives, and whether the standards are operated. It also stipulates “the obligation to prepare and submit an accountability structure of financial companies,” “the obligation to manage internal control of executives and CEO,” “sanctions and responsibility reduction,” and “the strengthening of the board’s internal control and monitoring role.” The law has been in effect since July 2024.
This paper aims to examine the main contents of the revised Financial Companies Governance Act, evaluate the contents, and present what needs to be improved in the future. As an improvement task, the supervisory regulation only exemplarily lists basic information to be contained in the accountability description and accountability system, so it is judged that additional guidelines are needed for financial companies to fulfill their obligations to create an accountability structure, and further review is needed to determine whether it is desirable to exclude all outside directors other than the chairman of the board of directors under the revised law. It is necessary to note that if it is interpreted too broadly, responsibilities may be allocated to those who are not appropriate to bear management obligations such as internal control under their authority.
