현행 주주제안권에 관한 고찰 (A Study on the Shareholder Proposal Rights)

초록

주주제안권은 소수주주에게 주주총회에 안건을 제안할 수 있는 권리를 부여함으로써 회사와 주주간의 의사소통을 원활히 하고, 소수주주의 주주총회 참가의욕을 고취시킴과 동시에 대주주 내지 경영자에 대한 감시기능을 수행하는 제도이다. 주주제안권은 일반주주들의 회사경영 참여를 유도를 통해 주주총회의 기능을 활성화하므로, 경영진의 독주를 견제하고 회사지배구조의 개선을 도모할 수 있고, 궁극적으로 경영의 투명화를 제고하여 기업의 경쟁력을 높여준다.
하지만 우리나라의 경우 주주제안권을 도입한 지 20년이 지났지만, 행동주의 사모펀드를 중심으로 간헐적으로 행사될 뿐, 소액주주들은 잘 활용하지 않고 있는 실정이다. 이는 우리나라 주주제안권 제도에 절차적 내용적 한계가 있고 부당거절의 경우 그 구제방안이 미흡한 것도 큰 이유가 되고 있다.
따라서 우리나라도 주주제안의 행사주체요건을 개선하고, 행사기간을 확장하며, 주주제안 대상을 확대하고 부당거절의 구제방안을 입법론적으로 해결한다면 좀 더 주주제안이 활성화될 수 있을 것이다. 아울러 이를 위해서는 의결권대리행사권유 제도 등 의결권 확보를 위한 제도 개선도 함께 이루어져야 할 것이다.
소유와 경영이 분리된 주식회사에서 경영진의 이익과 주주들의 이익이 완전히 일치되지는 않으므로 경영진이 자발적으로 주주의 이익을 위해 행동하리라고 기대하기는 어렵다. 따라서 주주제안권의 행사는 반드시 제안을 가결시키는데 의의가 있는 것이 아니라 이를 행사함으로써 주주의 의견을 경영진이나 다른 주주에게 전달하고 주의를 환기시키는 것에 중요한 의의가 있다.
결국 주주제안은 경영권침해 및 소유와 경영의 분리라는 주식회사의 대원칙을 무력화시키지 않는 한도 내에서 일반주주의 경영자에 대한 통제기능으로 경영의 투명성을 제고시킬 수 있도록 운영되어야 할 것이다.

영어초록

The shareholder proposal rights is a system that facilitates communication between the company and shareholders and promotes minority shareholders’ willingness to participate in shareholders’ meetings, while performing monitoring functions for major shareholders or managers. The shareholder proposal rights activates the function of shareholders’ meetings through inducing ordinary shareholders’ participation in company management, so that they can check corporate governance and seek to improve the company’s governance structure, and ultimately enhance the company’s competitiveness by enhancing transparency in management.
In Korea, however, it has been 20 years since it introduced the shareholder proposal rights, but it is only intermittently exercised around activist private equity funds, and minority shareholders are not making good use of it. This is the main reason why Korea has procedural limitations on the shareholder proposal system and the rescue plan is insufficient in case of unfair practices.
If Korea improves the requirement for the exercise subject of the shareholder proposal, expands the duration of the exercise, expands the scope of the shareholder proposal and solves the remedy for unfair practices in a legislative manner, it will be able to activate the shareholder proposal. Of course, this will require first improvement of the system to secure voting rights, like the proxy solicitation system.
It is difficult to expect management to act voluntarily in the interests of shareholders, since the interests of management and shareholders in a corporation with separate ownership and management do not fully coincide. Therefore, the exercise of shareholder rights does not necessarily mean that it is meaningful to pass the proposals, but rather that by exercising them, it is more important to communicate the shareholders' opinions to management or other shareholders and call attention.
Ultimately, the shareholder proposal will have to be operated to enhance transparency of management by controlling the general shareholders’ managers to the extent that it does not neutralize the grand principle of management infringement and separation of ownership and management.
