도드-프랭크법상 보수규제법리와 우리 법에의 시사점 (Compensation Theory under the Dodd-Frank Act and Its' Implications on Korean Legal System)

초록

금융위기극복을 위한 개혁노력의 결과로 미국 의회는 2010년 7월 21일 미국 역사상 가장 광범위한 금융규제개혁을 내용으로 하는 도드-프랭크법을 제정하였으며, 동법 제정으로 인해 한국 및 기타 국가들의 금융규제 및 기업지배구조에 미칠 영향력은 상당할 것으로 예상하고 있다. 이 논문에서는 도드-프랭크법의 광범위한 개혁내용 가운데 기업지배구조에 관한 변화된 규제법리를 임원보수규제를 중심으로 살펴본다. 그 중에서도 동법상의 핵심적인 지배구조관련 규정인 (1) 주주승인권의 도입 (2) 주주의 이사후보자지명권의 도입 (3) 보수공시규제의 강화 (4) 지급보수 환수규정 그리고 (5) 보수위원회 독립성 강화 규정들의 상세한 규제내용과 그 예상효과에 대해 검토하고, 이러한 규정들이 우리 법에 시사하는 바에 대해 분석하고 있다. 결론적으로, 한국법제도 하에서도 미국에서와 유사한 지배구조적 결함이 나타나고 있으며, 특히 임원보수와 관련해서는 주주의 이사후보자지명권제도의 적극 활용 및 임원보수에 관한 공시제도의 강화 그리고 이사회의 독립성 확보를 위한 제도적 보완작업의 필요성에 대한 구체적인 논거를 제시하고 있다. 이 논문에서의 저자의 논의가 향후 우리의 지배구조체제를 섬세하게 다듬고 보완해 나가는데 조금이나마 보탬이 되었으면 하는 바램이다.

영어초록

As part of the significant financial reform passed by U.S. Congress in the wake of the economic turbulence of the 2000's, the Dodd-Frank Wall Street Reform and Consumer Protection Act(“Dodd-Frank Act” or “Act”) was enacted July 21, 2010 and added a number of provisions regarding Corporate Governance and Executive Compensation. Among others, Dodd-Frank Act imposes new rules relating the above-mentioned issues in the following areas:- Shareholder voting on executive compensation(§ 951), so called Say-on-Pay - Proxy Access (§ 971)- Disclosures as to (i) executive compensation in comparision with financial performance of the issuer and (ii) the ratio of the CEO's compensation to the median compensation of all other employees of the issuer (§ 953)- In the case of certain financial restatement, required recovery of the issuer of amounts paid to its executive officers, so called “Clawbacks” (§ 954)- Compensation committee independence (§ 952)These provisions will impact significantly on actions of corporate board of directors, and particularly compensation committee, in their deliberations on executive compensation.
Considering the impact of the Dodd-Frank Act to Korean legal system, particularly to the financial regulations and corporate governance, we also have to seriously take into account of corporate governance reform in the area of executive compensation structure.
Under the Korean legal system, there are sufficient theoretical and practical needs to adopt several Dodd-Frank like provisions relating to these issues.
From this perspective, in this paper, I claim that we should utilize shareholder proposal system which has been already implemented under the Korean Commercial Code and Financial Investment Services and Capital Markets Act in order to achieve the same purpose of the Proxy Access of the Dodd-Frank Act. In addition, the compensation disclosure system needs to be supplemented through the legal change toward requiring more detailed disclosure regarding high-profile executives. Finally, we should set a standard in order to strengthen the independence of board of directors from the management by way of more actively utilizing the outside director system and audit committee system.
We should clearly recognize the legal changes in corporate governance from the traditional director primacy model to the modern shareholder primacy model through the enactment of the Dodd-Frank Act and also should know that this trend already started to make an impact on the Korean capital & financial market and their regulations.
