강소기업의 최대주주지분율과 가치관련성 (The Largest Shareholders’ Ownership and the Value Relevance of Hidden Champion Firms)

초록

본 연구는 한국거래소에서 선정한 강소기업(히든챔피언)의 최대주주지분율과 가치관련성을 실증적으로 분석함으로써 강소기업의 소유구조에 대하여 경영자이해일치가설이 성립하는지, 경영자안주가설이 성립하는지를 검토하였다. 또한, 최대주주지분율과 가치관련성에 강소기업과 일반기업 간 차이가 있는지를 검증함으로써 경영자이해일치가설 및 경영자안주가설이 강소기업과 일반기업 간에 차별적으로 성립하는지를 분석하였다.
2010년～2017년까지 한국거래소에서 선정한 강소기업을 대상으로 최대주주지분율과 가치관련성을 검증하였다. 또한 성향점수매칭기법을 사용하여 강소기업 표본에 대응하는 일반기업을 통제기업으로 선정한 후, 최대주주지분율과 가치관련성이 강소기업과 일반기업 간에 차이가 있는지를 검증하였다.
강소기업의 경우에는 최대주주지분율이 높을수록 기업가치가 유의적으로 증가하였다. 따라서 강소기업의 소유구조와 가치관련성에는 경영자 이해일치가설이 성립하는 현상이 관찰되었다. 그러나 일반기업을 대상으로 한 분석 및 일반기업과 강소기업을 모두 포함한 전체표존을 대상으로 한 분석에서는 최대주주지분율이 높을수록 기업가치가 유의적으로 감소하는 결과가 나타났다. 즉, 강소기업이 아닌 기업의 소유구조와 가치관련성에는 전반적으로 경영자 안주가설이 성립하는 현상이 관찰되었다. 또한 최대주주지분율과 가치관련성이 강소기업과 일반기업 간에 차이가 있는지를 분석한 결과, 강소기업의 경우에는 최대주주지분율이 높아질수록 기업가치가 유의하게 증가하는 것으로 파악되어 강소기업에 대한 경영자 이해일치가설을 보다 강건하게 뒷받침하는 결과가 나타났다.
본 연구는 강소기업을 대상으로 최대주주지분율과 가치관련성을 새롭게 조명함으로써 연구결과를 통해 강소기업 및 중소기업 육성정책에 시의적절한 시사점을 제공하고 있다.

영어초록

This study investigated the largest shareholders’ ownership and value relevance of hidden champion firms announced by the Korea Exchange in order to empirically examine interest convergence hypothesis and managerial entrenchment hypothesis on ownership of the hidden champion. Further, this study analyzed differences in the value relevance of the largest shareholders’ ownership between hidden champion firms and control firms to examine whether interest convergence hypothesis and managerial entrenchment hypothesis were differentiated between hidden champion firms and control firms.
This study analyzed the largest shareholders’ ownership and value relevance of hidden champion firms using samples of hidden champions selected by the Korea Exchange during 8 years (2010～2017). Specifically, using the propensity score matching(PSM) method, this study analyzed differences in the value relevance of the largest shareholders’ ownership between hidden champion firms and control firms selected by the propensity score matching method corresponding to the hidden champion firms.
The results of the study are as follows: First of all, firm values of hidden champion firms significantly increased when the largest shareholders’ ownership were getting higher. Therefore, interest convergence hypothesis was established on the ownership structure and firm values of hidden champion firms. However, results of analysis on total sample firms including hidden champion firms as well as control firms showed that the firm values significantly decreased when the largest shareholders’ ownership were getting higher. Thus, in general, managerial entrenchment hypothesis was established on the ownership structure and firm values. Also, there existed significant differences in the value relevance of the largest shareholders’ ownership between hidden champion firms and control firms. Specifically, firm values of hidden champion firms significantly increased according to increase of the largest shareholders’ ownership, which robustly supported interest convergence hypothesis.
The results of the study provide timely implications for the policy of fostering small and medium－sized firms as well as hidden champion firms by newly shedding light on the association between value relevance and the largest shareholders’ ownership of hidden champion firms.
