사회적 가치 실현을 위한 새로운 유형의 법인 연구 － 영리회사 기초의 융합적 구조를 중심으로 － (A Study on the New Types of Corporations to Realize Social Value － Focusing on the convergence structure of pursuing social value based on a commercial company －)

초록

사회적기업은 경제활동을 주로 영위하는 영리기업과 사회적 가치나 목적을 추구하는 비영리법인의 혼합적 조직이다. 상법상 회사로서의 특성은 물론 비영리법인의 특성을 공유하기에 사회적기업은 일반 대중에게 잘 이해되지 않는 면이 있다. 본 연구는 사회적기업을 둘러싼 새로운 법인격의 신설이 현재 운영되는 사회적기업의 인증제가 가진 한계와 법적 불안정성을 해결할 수 있는 대안이 될 수 있다는 판단하에 이에 대한 법적 검토를 실시하였다. 이러한 영리회사를 기초로 한 새로운 형태의 사회적 가치 추구 회사의 명칭을 ‘사회적가치회사(social value company)’라고 하여 회사의 정체성을 명확히 하였다. 이를 바탕으로 본 연구는 기업이론을 참고하여 사회적가치회사의 본질에 대해 ‘지속가능성 기반의 이해관계자론’을 제시하였다.
이 이론은 사회적가치회사가 영리⋅비영리의 융합적 지배구조를 기본으로 하지만 영리의 추구는 그 기업이 지속가능한 범위에서의 한정적인 범위의 영리추구이고 비영리의 추구는 새로운 법인격의 지속가능성을 전제로 한 사회적 가치추구라고 정의하였다. 이와 같은 ‘지속가능성 기반의 이해관계자론’을 통해 사회적가치회사가 지니는 법적 지위와 지배구조의 합리성과 타당성을 제시하였다. 법적 지위는 상법상의 회사를 기초로 하며 주식회사뿐만 아니라 유한회사, 유한책임회사를 포함하는 개념이다. 미국이나 영국의 사례를 살펴보아도 사회적가치회사의 영리기반 회사 지위를 인정할 수 있다고 보았으며 영리⋅비영리의 융합적 지배구조를 위해 이익배분과 자산처분이 일정한 기준에서 제한되는 것이 타당하다고 보았다. 이익배분을 위한 제한과 자산처분을 위한 제약을 동시에 두는 것이 타당하며 이익배분과 자산처분의 제약의 방식에 대해 미국과 영국의 사례를 제시하였다. 우리의 경우 이윤배분 및 자산처분의 제한을 명문화하고 엄격히 집행하는 방향으로 제도를 설계하는 것이 사회적가치회사의 정체성을 명확히 하고 이들을 진흥할 수 있는 방안으로 보았다.

영어초록

A social enterprise is a hybrid organization of a commercial enterprise that mainly engages in economic activities and a non-profit corporation that pursues social values or purposes. Because social enterprises share the characteristics of non-profit corporations as well as the characteristics of companies under commercial law, social enterprises are not well understood by the general public. This study conducted a legal review on the belief that the establishment of a new legal personality surrounding social enterprises could be an alternative to solving the limitations and legal instability of the currently operating social enterprise certification system. The name of this new type of company pursuing social value based on a commercial company was ‘social value company’ to clarify the company’s identity. Based on this, this study referred to corporate theory and presented a ‘sustainability-based stakeholder theory’ on the essence of social value companies.
This theory states that social value companies are based on a convergence of for-profit and non-profit governance. But the pursuit of profit is to a limited extent within the sustainability of the company, and the pursuit of non-profit assumes the sustainability of a new corporate personality. Through this‘sustainability-based stakeholder theory’, the rationality and feasibility of the legal status and governance structure of social value companies were presented. The legal status is based on a company under commercial law and includes not only stock companies but also limited companies and limited liability companies. Looking at cases in the United States and the United Kingdom, it was believed that the status of social value companies as profit-based companies could be recognized, and it was considered appropriate to limit profit distribution and asset disposal to certain standards for a convergent governance. It is reasonable to place restrictions on profit distribution and asset disposal at the same time, and examples of the US and UK were presented regarding the methods of limiting profit distribution and asset disposal. In our case, designing a system to specify and strictly enforce restrictions on profit distribution and asset disposal was seen as a way to clarify the identity of social value companies and promote them.
