일괄집행제도 도입을 위한 법무부 동산채권담보법 개정법률안 및 수정안에 대한 입법론적 검토 (Legislative Review of the Revision and Amendment of ACT ON SECURITY OVER MOVABLE PROPERTY AND CLAIMS by the Ministry of Justice, For the introduction of a Integrated Execution System)

초록

법무부는 20대 국회 임기 중이던 2020. 3. 20. 동일한 채권을 담보하기 위하여 종류가 다른 두 가지 이상의 담보목적에 대하여 담보권을 설정할 수 있도록 일괄담보제도를 도입하고, 동산 등에 담보권을 설정할 수 있는 자의 범위를 확대하며, 담보권 실행의 집행절차를 개선하는 등의 내용의 「동산ㆍ채권 등의 담보에 관한 법률」개정법률안을 정부안으로 제출하였다. 그러나 위 개정법률안은 실무를 담당하는 법원행정처의 강한 반대에 부딪쳐 표류하다가 결국 임기만료로 폐기되었다. 법무부는 위 개정법률안에 대한 각계의 신중 검토의견이 비등하자 그 주된 표적이 된 개정법률안의 일괄집행제도에 대하여 사단법인 한국민사집행법학회에 연구용역을 의뢰하여 비교법적인 검토를 하는 등 노력을 기울였지만, 결국 실무를 담당하는 법원행정처의 강한 반대의견을 극복하지 못하여 입법동력을 상실한 채 현재 입법 추진이 사실상 중단된 상태이다.
필자는 법무무의 동산ㆍ채권 등의 담보에 관한 법률 일부 개정법률안 및 이를 수정보완 한 수정안의 구체적인 내용과 그 개정이유, 이에 대한 법원행정처, 대한변호사협회 및 국회 전문심리위원의 의견을 차례로 살펴 본 다음, 법무부 수정안에 대한 검토의견을 입법론적인 견지에서 총론적인 측면에서 뿐만 아니라 개별 조문별로 개진하였다. 그 명칭에도 불구하고 일괄담보권은 1개의 피담보채권의 담보목적물이 복수의 동산, 채권, 지식재산권 등인 ‘공동담보권’이다, 일괄담보집행절차는 도산절차와 같은 일반집행절차가 아니라 민사집행법상의 개별집행절차의 일종이다, 현재 민사집행절차와 조세강제징수절차를 조정하는 규정을 두고 있지 않은 것과 마찬가지로 일괄담보의 특수성을 감안하더라도 다른 개별집행절차와 사이에 절차를 조정하는 규정을 둘 필요는 없다, 일괄담보집행절차상 제3채무자의 집행공탁은 허용된다, 일괄담보실행절차는 특수한 형태의 개별집행절차의 일종으로 채무자회생법 제44조 제1항 제2호의 회생채권 또는 회생담보권에 기한 담보권실행을 위한 경매절차의 하나로서 일반절차인 회생, 파산, 개인회생절차에 복종하여야 하는 지위에 있다는 것 등이 그 요지이다.
개인적으로는 유체동산, 채권, 지식재산권 뿐만 아니라 부동산까지를 포괄하여 현재보다 더 일반집행에 가깝게 제도를 설계하는 것을 적극 검토하기를 바라고, 일괄담보집행절차상 현금화와 관련하여서는 개별재산 매각에 익숙한 현재의 집행관 대신에 파산법상의 파산관재인과 유사한 일본의 기업담보법상의 관리인을 두어 블록쎄일 등 탄력적인 매각을 가능하도록 하는 것이 바람직하다고 생각된다.

영어초록

March 20th 2020, during the term of the 20th national assembly, The Ministry of Justice submitted the revised bill of 「Act On Security Over Movable Property And Claims」 as a government bill, introducing a integrated security system which allows to establish security rights for two or more different types of collateral purposes in order to secure the same bond and expanding the range of persons who can establish security rights in movable property, etc. However, the revised bill was drifted in the face of strong opposition from the National Court Administration in charge of practice, and was eventually discarded due to the expiration of its term of office.
As opinions on careful review of the revised bill were boiling, the Ministry of Justice made efforts to conduct a comparative legal review on integrated execution system, which was the main target of the revised bill, by requesting research services from the Association of Korean Civil Judgment Enforcement Law, but the legislation promotion has been virtually suspended while losing legislative power due to the inability to overcome strong objections of the National Court Administration in charge of practice.
This Article reviewed the amendments and revised bill to the 「Act On Security Over Movable Property And Claims」 by the Ministry of Justice, the reasons for the amendment, and the opinions of the National Court Administration, the Korean Bar Association, and expert commissioners form the National Assembly, and expressed an opinion on the review of the amendment to the Ministry of Justice from a legislative perspective not only as a general perspective but also as a review for each individual article. The main points are as follows; Notwithstanding its name, an integrated security right is a ‘joint security right’ in which the object of collateral for one secured claim is multiple movable assets, bonds, and intellectual property rights. The integrated security execution procedure is not a general execution procedure such as bankruptcy procedure, but a type of individual execution procedure under the Civil Execution Act. Just as there are currently no regulations to adjust civil execution procedures and tax compulsory collection procedures, there is no need to establish regulations to adjust procedures between other individual execution procedures, even considering the characteristic of integrated security. A deposit of third obligor is allowed in the integrated security execution procedure. The integrated security execution procedure is a type of individual execution procedure in a special form, and is one of the auction procedures for the execution of rehabilitation claims or security rights based on rehabilitation security rights under Article 44 (1) 2 of Debtor Rehabilitation And Bankruptcy Act, and is in a position to obey the general procedure of rehabilitation, bankruptcy, and individual rehabilitation procedures.
Personally, it would be recommended to actively consider designing a system that is closer to general execution than it is now, covering not only corporeal movables, bonds, and intellectual property rights but also real estate and regarding liquidation in the integrated security execution procedure, it is desirable to have a manager under the Japanese Corporate Security Act, similar to the bankruptcy trustee under the Bankruptcy Act, to enable flexible sales such as block sales, instead of the current executive who is familiar with the sale of individual assets.
