상증세법상 공익법인의 외부감사제도 개선방안 (Status and Recommendations of External Audit System of Public Service Corporation in the Inheritance Tax and Gift Tax Act)

초록

본 연구는 상증세법상 공익법인 외부감사제도의 문제점과 개선방안을 제시하는 데 목적이 있다. 공익법인의 외부감사제도는 외감법에 의한 체계적인 감독체계를 갖추고 있는 주식회사등 영리법인의 경우와 비교할 때 여러 가지 측면에서 미흡하다고 할 수 있다. 최근 공익법인회계기준이 제정되고 감사인 자유선임제의 부작용을 보완하기 위해서 감사인 주기적 지정제도의 도입이 추진되는 등 공익법인 외부감사제도를 개선하기 위한 노력이 계속되고 있으나 공익법인에 대한 감독체계에 많은 문제점이 남아 있는 실정이다. 따라서 본 연구에서는 공익법인의 현행 외부감사제도의 현황을 분석하고 그 문제점을 파악하여 다음과 같은 개선방안을 제시하였다.
첫째, 외부감사대상 공익법인의 범위를 환경의 변화를 반영하여 지속적으로 조정할 필요가 있으며, 현재와 같이 자산규모만으로 외부감사대상을 정하는 것은 불합리한 측면이 많으므로 보완할 필요가 있다. 둘째, 감사인의 독립성 강화 및 감사의 효율성 제고를 위하여 공익법인의 경우에도 연속한 2개 또는 3개 사업연도를 동일한 감사인으로부터 감사를 받도록 하는 제도를 도입할 필요가 있다. 셋째, 감사인 자유선임제의 부작용을 보완하기 위해서 직권지정제 및 주기적 지정제와 같은 감사인 지정제도의 도입을 검토할 필요가 있다. 넷째, 공익법인의 외부감사의무를 강화하기 위해서 감사인 선임에 대한 사전적인 감독제도를 도입할 필요가 있다. 다섯째, 공익법인 감사보고서의 품질제고를 위해서 감리체계의 구축이 필요하며, 마지막으로 공익법인의 감사인 선임제도 및 감사인 지정제, 감리제도의 도입과 관련한 입법적 대안을 제시하였다.

영어초록

This paper aims to analyze the status of the external audit system of public service corporations in the Inheritance Tax and Gift Tax Act and suggest some ideas for its improvement. The external audit system of public service corporations is simple compared to the external audit system in the Act on External Audit for Joint Stock Companies. Even though Accounting Standards of Public Service Corporations was established and the introduction of the periodic auditor assigning system is considered to improve the external audit system of public service corporations, the weakness of the control system for public service corporations still remains.
Therefore, this paper analyzed the status of the external audit system of public service corporations and suggested some ideas for its improvement as follows：First, it is not reasonable to set the range of public service corporations which should be audited by the external auditor based on asset size. So the continuous amendment of the range reflecting the changes of environment is preferable. Second, the introduction of the two or three year－term audit contract system needs to be considered to strengthen the independence of auditors and improve the efficiency of audit for public service corporations. Third, the introduction of the new auditor assigning system needs to be considered to get rid of the weakness of free audit contract system. Fourth, the introduction of control system for the process of audit contract needs to be considered to strengthen the external audit requirement of public service corporations. Fifth, the establishment of official reviewing system for audit reports of public service corporations is required to improve their audit quality. Lastly, I presented the legislative alternatives to adopt the new auditor assigning system and official reviewing system for audit reports of public service corporations.
