초록

암호화폐를 재산적 가치가 있는 자산의 성격에 초점을 맞추어 우리나라는 2020. 3. 24. 「특정 금융거래정보의 보고 및 이용 등에 관한 법률」을 개정하여 암호화폐를 ‘가상자산’, 즉 “경제적 가치를 지닌 것으로서 전자적으로 거래 또는 이전될 수 있는 전자적 증표(그에 관한 일체의 권리를 포함)”로 정의하게 되었다. 따라서 암호화폐라는 용어는 거의 사라졌고 지금은 가상자산이라는 표현이 일반적으로 통용되고 있다.
그런데 가상자산은 발행과 유통을 하게 될 경우 이에 대한 규제법 없이 발행을 하였고 또한 가상자산거래소에 유통되어 왔기 때문에 가상자산 이용자 측면에서 보호를 받을 수 없는 문제가 발생하였다. 이를 해결하기 위하여 2023. 7. 18. 「가상자산 이용자 보호 등에 관한 법률」이 제정되어 가상자산 이용자의 보호에 중점을 두어 규제를 마련하였으나, 가상자산거래소에서 발생하는 불공정거래 규제에 중점을 두었을 뿐, 가상자산 발행 및 유통에 대한 뚜렷한 규제는 마련하지 못하였다.
이러한 상황에서 증권적 성질을 띠는 가상자산 또는 토큰에 대한 규제의 경우 「가상자산 이용자 보호 등에 관한 법률」 적용은 어렵고, 기존 「자본시장과 금융투자업에 관한 법률」의 적용이 필요하게 되었으나, 여전히 그 적용 관련 이슈가 제기되고 있다.
따라서 증권적 성질을 갖고 있는 가상자산 또는 토큰의 발행 및 유통의 경우 어떠한 이슈가 제기되고 있는지 검토 필요성이 대두되었고, 특히 STO(Security Token Offering)라는 용어가 등장하면서 이에 대한 개념 및 법적 과제 등에 대해 살펴 볼 필요성이 생겼다. 따라서 본 논문에서는 STO의 의의와 법적 과제는 무엇이고, 특히 증권적 성질을 띠고 있는 토큰의 증권성 판단기준은 어떠한지, 그리고 토큰증권 발행 및 유통과 관련하여 어떠한 실무상 문제점이 있는지 살펴 본 후, 그 개선사항에 대해서도 검토해 보고자 한다.

영어초록

Focusing on the nature of cryptocurrency as an asset with property value, Korea amended the Act on the Reporting and Use of Specified Financial Transaction Information on March 24, 2020, to define cryptocurrency as a “virtual asset,” or “an electronic representation (including any rights related thereto) that can be traded or transferred electronically as something with economic value.” Therefore, the term cryptocurrency has almost disappeared, and the expression virtual asset is now commonly used.
However, since virtual assets have been issued and distributed without regulatory laws, and have been distributed on virtual asset exchanges, there has been a problem that users of virtual assets have not been able to receive protection. To solve this problem, the Act on the Protection of Virtual Asset Users was enacted on July 18, 2023, and provided regulations focusing on the protection of virtual asset users, but it only focused on the regulation of unfair transactions occurring on virtual asset exchanges, and did not provide clear regulations on the issuance and distribution of virtual assets.
In this situation, it is difficult to apply the Act on the Protection of Users of Virtual Assets, etc. to regulate virtual assets or tokens that have a securities nature, and it has become necessary to apply the existing Act on the Capital Market and Financial Investment Business, but there are still issues regarding its application.
Therefore, it has become necessary to examine what issues are being raised in the case of issuing and distributing virtual assets or tokens with securities properties, and in particular, with the emergence of the term STO (Security Token Offering), it has become necessary to examine the concept and legal issues. Therefore, this paper will examine the significance and legal issues of STO, especially the criteria for judging the securities of tokens with securities properties, and what practical problems are related to the issuance and distribution of token securities, and then examine the improvements.
