콘솔 게이밍 서비스 시장에서 MS의 블리자드 인수가 경쟁에 미치는 영향 (A study on the impact of Microsoft aquisition of Blizzard on competition in the console gaming service market)

초록

본 논문은 급변하는 디지털 시장에서 기업결합 심사 내용과 결과가 증거와 그 해석에 따라서 어떻게 변화할 수 있는지 살펴보기 위하여 최근 게임시장에서 이루어진 대규모 기업결합 사건인 마이크로소프트의 블리자드 인수에 대해 불허 결정을 내린 영국 CMA의 심사 내용을 분석하였다. 특히 콘솔 게이밍 시장에서 CMA의 결정 변화가 두드러지는데, 콘솔 게이밍 시장의 경우 영국에서 2022년 10월에 1차 조사를 발표하였을 당시에는 콘솔 게이밍 시장과 클라우드 게이밍 시장 모두에서 상당한 경쟁제한 우려를 표명하였으나, 심층조사 이후에는 클라우드 게이밍 시장에서 여전히 우려가 있으나 콘솔 게이밍 시장에는 경쟁제한 우려가 없다고 하여 그 결과를 변경하여 발표하였다.
생각건대, 자체 설문조사 결과와 모델링을 통한 경제분석이 CMA의 1차 조사와 심층조사 결과를 다르게 한 주요 이유인 것으로 보인다. 1차 조사에서는 당사자들과 소니 등의 경제분석 모델과 데이터를 비판적으로 검토하면서 이를 종합하여 해석하는데 그친 반면 CMA의 심층조사에서는 CoD 중요성과 봉쇄 전략으로 인한 전환율 등에 관한 자체 설문조사를 실시하여 봉쇄 전략으로 인한 이득과 손실을 계량분석하였다.
여기에 더해 CMA 심층조사에서 게임발행사, 경쟁사 등 업계 관계자들의 증언과 자료 등을 추가하는 과정에서 새로운 정보와 논리가 추가되어 동일한 기업결합 건을 놓고도 간접적 네트워크 효과가 주요하고(1차 조사), 주요하지 않고(심층조사) 라는 심사 내용이 상반되었고, 직접적 네트워크 효과도 1차 조사에서는 봉쇄 유인이 있다는 방향으로만 검토되다가, 심층조사에서 정반대인 직접적 네트워크 효과로 인한 손실 가능성도 함께 검토되었다.
본 연구는 심사 과정에서 CMA가 어떤 증거를 어떻게 해석하여 단계마다 어떤 결정을 내렸는지 공개하였기 때문에 분석이 가능하였다. 과정적 측면에서 이와 같이 중요한 사건의 경우 심사를 단계화시켜 각 단계마다 경쟁당국이 채택한 증거와 경쟁제한 우려 사항을 공개한다면 결합 당사자들 및 이해관계자들에게는 시급하고 중요한 심사결과를 예측가능하게 하여 더욱 적극적으로 의견을 제출하고 방어할 기회가 생기고, 경쟁당국에게는 혹시 있을지도 모를 오류를 사전에 방지하고 절차적 정당성을 더욱 확보할 수 있는 방법이 될 수 있을 것으로 사료된다.

영어초록

This paper analyzes the UK Competition Authority (Competition and Market Authority, CMA)’ decisions which did not approve Microsoft's acquisition of Blizzard, a large-scale merger case recently made in the gaming industry, to examine how the evidence they considered, its interpretations and results of the merger review change from the phase 1 investigation to the in-depth investigation.
In the console gaming service market, when the preliminary decision from the phase 1 investigation was announced in October 2022 in the UK, where primary Blizzard games like ‘Call of Duty’ are popular, the CMA expressed the concerns caused by the merger about a substantial lessening of competition in both the console and the cloud gaming service market. However, after the in-depth investigation, while it concluded there are still concerns in the cloud gaming market, a substantial lessening of competition may not be expected as a result of the merger in the supply of console gaming services in the UK, so the decisions were changed.
Presumably, the results of the CMA’ survey and quantitative analysis through financial modelling in the in-depth investigation seem to be the main reasons for the change. In the preliminary decision, financial modelling by parties and Sony was critically reviewed and interpreted by the CMA, while the in-depth investigation, it conducted its own survey on the importance of CoD and diversion ratio due to foreclosure strategies to quantify and analyze the gains and losses of foreclosure strategies.
In addition, by adding views, data, or opinions from parties or third parties in the CMA in-depth investigation, new information and logic were generated and incorporated into the review. For example, discussion that indirect network effects are important (preliminary decision) or not important (final decision) was contradictory. Also, the direct network effect was considered only in one direction to incentive the foreclosure in the phase 1 investigation, but the opposite direction of possible loss was also considered in the in-depth investigation.
This study was possible to analyze because during the review process, CMA disclosed what evidence was interpreted in a way and what decisions were made at each stage. In addition to the logic and interpretation of the CMA, if the decision process is disclosed from competition authority in such important cases, the parties and stakeholders will have an opportunity to more actively submit and defend urgent and important review results, and competition authority will be able to prevent possible errors in advance and secure procedural legitimacy.
