한미 양국의 내부회계관리제도와 기업윤리규정 공시제도의 비교 (Comparative study on the Internal control system and disclosure of business ethics of the US and Korea)

초록

본 연구의 목적은 SOX법에서 기업지배구조 개선을 위해 도입된 내부회계관리제도와 기업윤리규정(business code of ethics)의 공시제도의 도입과정 및 적용사례를 살펴봄으로써 한국 자본시장의 회계투명성 제고를 위한 시사점을 모색해 보는 것이다. 이를 위해 미국의 내부회계관리제도와 기업윤리규정을 비교기준으로 하여 양국의 제도 간의 차이점을 살펴보고 다음과 같은 시사점을 도출하였다. 첫째, 내부회계관리제도의 변천과정을 보면서 경영자를 감시 및 견제하는 시스템으로서의 최적의 내부회계관리제도는 나라마다 다를 수 있다는 사실이다. 다시 말해 시장의 규율이 강한 미국의 자본시장도 공적 신뢰를 위한 윤리적 시민의식이 약화될 때 강한 규제의 대상이 되었으며 규제에 따른 비용도 추가됨을 확인하였다. 또한 이러한 규제와 그 비용을 줄이기 위해서는 시장 자율에 의한 각고의 노력이 있어야 한다는 함의도 얻었다. 둘째, 현재 한국의 내부회계관리제도는 도입비용을 너무 의식한 나머지 재무보고의 신뢰성 제고라는 도입취지를 살리지 못하고 있는 상황으로 판단된다. 선행연구에서 제안된 바와 같이 적용대상에서 상장중소기업과 일정규모 이하의 비상장기업은 SOX법 404조(b) 즉 내부회계관리제도에 대한 감사인 인증요구 대상에서 배제하면서 미국의 중소상장기업에게 적용되는 감사인 인증 없이 SOX 302조와 404조(a)만을 적용하는 안을 적용해 볼만하다. 물론 이러한 안이 적용되려면 경영자들이 자신이 인증한 내용에 대해 책임지는 조직원으로서의 윤리적 시민의식을 스스로 보여야 할 것이다. 셋째, 기업윤리규정을 정기 재무보고서에 포함되는 공시항목으로 도입할 필요가 있다고 본다. 기업윤리규정의 내용에 대해서는 전적으로 기업자율에 맡기면서도 규정의 존재 및 변경 등을 투자자에게 공시규제에 의해 알림으로 해서 경영자가 자율적으로 윤리적 경영에 나서는 환경을 제공할 것으로 기대해 볼 수 있다.

영어초록

The purpose of this study is to find implications for improving the accounting transparency in the Korean capital market by examining the introduction process and application examples of the internal control system and disclosure of business ethics which were enacted in the Sarbanes and Oxley Act to improve corporate governance in the US. To this end, we examined the differences in the internal control system and business ethics regulation between two countries with the US experience as a reference point and found implications as follows; First, we found from reviewing the transition process of the US internal control system that the optimal internal control system as a system to monitor and check the management may vary from country to country. In other words, the US capital market well known for the strong market discipline, was also strongly regulated when the ethical citizenship for public trust weakened, and the cost of regulation was added. In addition, it was also implied that the autonomous effort of the market itself is essential to reduce these regulations and their costs. Second, the internal control system adopted in Korea is evaluated to have been too cost-conscious at the expense of the purport of the system, i.e. the enhancement of reliability of financial reporting. As suggested in previous studies, listed SMEs and unlisted SMEs below a certain size should be exempt from the scope of SOX SEC.404 (b). Instead, it is suggested to apply SOX SEC.302 and SEC.404 (a) without auditor certification. Of course, for this application, managers should show their ethical citizenship as a member of the organization by taking the responsibility for what they have certified. Third, it is necessary to introduce business ethics regulations as disclosure items included in periodic financial reports. The self-ruling system that the management will inform the investors of the existence and change of the corporate code of ethics while the contents of the corporate code of ethics are entirely left to the autonomy of the enterprise is expected to provide an environment in which the manager voluntarily enters into ethical management.
