코스닥시장의 상장폐지에 대한 소고 - 실질심사제도를 중심으로 - (A Study on the Delisting Decision of KOSDAQ Market about Involuntary Delisting System by Real Evaluation Standards)

초록

상장폐지결정에는 상장법인의 신청에 의한 상장폐지와 한국거래소에 의한 강제적인 상장폐지가 있다. 거래소에 의한 상장폐지는 크게 형식적 요건의 상장폐지와 상장적격성 실질심사에 의한 상장폐지 두 가지 절차로 크게 구분할 수 있다. 상장적격성 실질심사 제도는 2009. 2. 4. 도입되었다. 이는 기업경영의 계속성, 투명성, 투자자의 보호에 중대한 영향을 미칠 만한 중요사실이 발생(실질심사 개시의 단초 사실)하면 기업의 재무내용, 경영현황 등 기업실질에 기초하여 상장유지 적격성을 심사하여 당해 기업의 상장폐지 여부를 결정하는 제도이다. 실질심사는 형식적 상장폐지와 달리 상장적격성 실질심사 대상 사유인지에 대한 판단(1차 판단) 및 상장폐지를 위한 기업심사위원회의 심의(2차 판단)와 마지막으로 코스닥시장위원회의 상장폐지결정(3차 판단) 판단의 과정을 밟게 된다. 현재는 주로 개선기간이 부과되고, 개선기간 종료 이후 상장폐지 여부를 결정하고 있다.
실질심사제도가 도입된 이후로 많은 쟁점이 있었다. 법원은 실질심사제도가 기업심사위원회와 시장위원회 등 전문가의 의견을 거쳐 진행되고 있으므로 원칙적으로 존중하여야 하나, 현저히 정의에 반하는 경우에는 거래소의 재량을 넘어서 위법할 수도 있다는 입장이다. 상장폐지는 주주 및 채권자 등 다수의 이해관계자에게 영향을 미치므로 신중하게 결정되어야 하고 투명하게 결정되어야 한다. 현재 실질심사와 관련한 구체적 기준은 대부분 공개되고 있다. 다만, 기준의 공개는 상장폐지를 회피할 수 있는 빌미도 될 수 있으므로 신중한 접근이 필요할 것이다. 이러한 실질심사제도를 통해 코스닥을 포함한 거래소시장이 한층 더 성숙한 시장으로 발전할 수 있을 것이다.

Delisting process on the KOSDAQ Market can be divided into voluntary delisting process by a listed company and involuntary delisting process by the KRX. Involuntary delisting standards on the KOSDAQ Market can be divided into formal standards and real evaluation standards depending on whether there is a need to review facts. Involuntary delisting system by real evaluation standards was introduced on February 4, 2009. When an event occurs which has significant influence on a listed company's management continuity, transparency, or investor protection, the company's eligibility to continue its status as a KOSDAQ-listed company will be assessed considering the event and its implications.
Involuntary delisting system by real evaluation standards is different from that of formal delisting system. Involuntary delisting system by real evaluation standards has three steps. At first step, KRX will decide on whether there is trigger such as embezzlement or malfeasance, or window dressing. At second step, KRX will decide on the company's eligibility to continue its status as a KOSDAQ-listed company by persistence of sales, financial soundness and transparency of management. Finally, the Market Committee will determine the delisting of the company. If needed, a grace period will be granted for the company to make necessary improvements and recovery. After elapse of a grace period, KRX will decide on the company's eligibility to continue its status as a KOSDAQ-listed company.
After Involuntary delisting system by real evaluation standards being introduced, many issues have been raised. The various professionals such as lawyers, accountants and professors in the Listing Committee and the Market Committee are involved in the involuntary delisting process by real evaluation standards. Considering this, the court said the delisting decision by KRX must be respected, but it may be illegal, if it is significantly contrary to the justice. The decision of delisting the company will affect many stake holders, including creditors and shareholders. Therefore, it should be careful and transparent. Specific standards of delisting are generally released in public. Because the publication of Specific standards of delisting can be exploited and be also an excuse to avoid delisting, the cautious approach is needed in the publication. I wish KRX market including KOSDAQ Market should be more advanced market in the future by involuntary delisting system by real evaluation standards.
