초록

本文从论述投资者关系管理的相关理论着手，深入剖析了中国上市公司投资者关系管理的现状及其存在的问题，这些问题主要是：上市公司对投资者关系管理的认识和定位不明确；多数上市公司未设立投资者关系管理部门，投资者关系管理人才缺乏；上市公司信息披露内容的数量和质量还有待提高；对中小投资者关注程度不高等等。着重提出了中国上市公司投资者关系管理制度完善的措施主要包括：明确公权监管部门定位，完善投资者关系管理规范；建立投资者关系协会等行业自律组织，发挥自律监管的作用；建立并完善上市公司信用、声誉评价制度，促使上市公司自我完善；发挥中介组织作用，特别是媒体的监督作用。同时对中国股票发行注册制实施之后投资者关系管理制度可能发生的变化作了深入的分析。

영어초록

The thesis deeply analyses the current situation and existing problems of investor relations management in Chinese listed companies starting from relevant theory regarding investor relations management, the problems are as follows: (i) Listed companies have an unclear understanding and orientation to investor relations management; (ii) A majority of listed companies do not set offices in connection with investor relations management and there is a lack of talents who are skilled in investor relations management; (iii) Quantity and quality of disclosure content of listed companies need to be improved; (iv) Listed companies do not pay much attention to the middle and small investors and so on. I emphasize the following measures to improve the investor relations management system of listed companies, including but without limitation, (i) Clarifying the orientation of public power regulation departments and improving the standard of investor relations management; (ii) Establishing industry self-discipline organization such as investor relations association in order to play the role of self-regulation; (iii) Setting up and improving the credit rating and reputation evaluation system of listed companies to cause them self-improved; (iv) Playing the role of intermediary organization, especially playing the role of the media supervision. At the meantime, I deeply discuss the possible situations that the investor relations management system may face after the registration system of Chinese stock public offering comes into effect.
