이사회 위원회 구조와 기업성과간의 관계에 관한 연구 (The Effects of Board Committee Structure on Firm Performance)

초록

본 연구는 기업성과와 이사회 구조 사이의 관계를 이사회 내 위원회의 구조와 그 위원회 내에서의 각 이사의 역할을 통해서 분석하였다. 즉, 본 연구에서는 2004년부터 2006년까지 한국증권거래소(KSE)에 상장되어 있는 기업 중에서 이사회 내 위원회가 1개 이상 존재하는 376개의 기업-연도를 대상으로 분석하였다. 먼저 이사회 내 사외이사의 비율과 기업성과와의 관계를 관찰하였다. 두 번째로는 재무위원회와 투자위원회 내 사내이사 비율과 기업성과와의 관계를 살펴보았다. 세 번째로는 감사위원회와 보상위원회 내 사외이사 비율과 기업성과 사이의 관련성을 분석하였다. 마지막으로는 사외이사후보추천위원회를 통해 CEO의 영향력을 파악하여, CEO의 영향력이 높은 기업과 낮은 기업 간에 위원회 구조의 차이를 알아보았다.
실증분석 결과는 다음과 같다. 첫째, 이사회 내 사외이사의 비율과 기업성과 사이에는 상관관계가 발견되지 않았다. 둘째, 재무위원회와 투자위원회 내 사내이사 비율과 기업성과는 통계적으로 유의한 양(+)의 관계가 발견되었다. 셋째, 감사위원회와 보상위원회 내 사외이사 비율과 기업성과 사이에는 유의성이 관찰되지 않았다. 넷째, CEO의 영향력에 따른 두 집단 간의 위원회 구조가 다른 것으로 나타났다. CEO의 영향력이 높은 기업의 위원회 내 사내이사 비율이 상대적으로 높게 나타나는 현상을 보였다. 이러한 결과는 사외이사가 기업에 기여하는 부분과 다른 측면에서 사내이사의 긍정적인 역할을 발견한 점에 의의가 있다. 즉, 사내이사는 기업의 장기적 투자 결정 및 기업의 전략적 결정에 있어 내부 전문성을 갖춘 의사 결정을 통해 기업가치에 긍정적인 영향을 미친다는 것을 시사하고 있다.

영어초록

The purpose of this research is to analyze the association between firm performance and board composition by examining the committee structure of boards and the roles of the directors within these committees. No meaningful relation was noticed between the overall board composition and firm performance, and, in this respect, this research suggests no different result from those of other previous researches. However, when the structure of committees in a board was examined, the relation between the board composition and firm performance was observed.
This research analyzed 376 firms which hold more than one committee in the board, among the firms listed on the KSE between 2004 and 2006. This research covered (i) the association between the firm performance and the proportion of inside directors on finance committees and investment committees, (ii) the relation between the firm performance and the proportion of outside directors on audit committees and compensation committees, and (iii) the difference of committee structure between firms under strong influence of CEO and firms under weak influence of CEO, by grasping the level of CEO’s influence through outside directors' recommendation committees.
The results of the research are as follows. First, the proportion of inside directors on finance committees and investment committees was positively proportional to firm performance. Second, the proportion of outside directors on audit committees and compensation committees showed no meaningful relation with firm performance. Third, the difference of committee structure was found in all of the committees when frims under strong influence of CEO was compared with those under weak influence of CEO. All of the committees in firms under strong CEO influence displayed lower proportion of outside directors in the respective committees. This study is meaningful in that the results showed the positive roles of inside directors which have different aspect from the contributions of outside directors. This means inside directors provide valuable information to a board for long term investment plans.
